Vangelis Politis

Managing Partner

Vangelis Politis practices in the areas of Commercial and Corporate Law, M&A, Energy, Banking & Finance, Capital Markets and Litigation & Arbitration. He is a graduate of Athens Law School and holds an LL.M. from Duke University, USA. After practising for several years with another major Athens law firm, he co-founded Politis & Partners in 2000.

Vangelis draws on more than three decades of experience as a corporate, finance and disputes lawyer in advising domestic and international clients on complex transactions, investments, restructurings and contentious matters. His work includes M&A, joint ventures, project finance, infrastructure and energy projects, commercial disputes and strategic advisory work for multinational groups and Greek businesses.

He has represented buyers, sellers, financial institutions, investors and corporate clients across a wide range of sectors, including energy, healthcare, industrials, financial services, technology, communications, consumer goods and infrastructure.

Vangelis is frequently invited to speak at corporate and securities law conferences.

He is the author of the book “Public Disclosure: An Obligation of Companies with Listed Shares”, published by Sakkoulas Publications in 2002. He has also contributed to “Sociétés Anonymes”, published by Sakkoulas Publications, and has authored several articles on corporate and securities law in Greek and international legal journals.

Banking & Finance

As head of the firm’s Banking & Finance practice, Vangelis advises banks, leasing institutions, investment funds, corporate borrowers and multinational groups on complex financing transactions, project finance, leasing structures, debt restructurings and intercompany funding arrangements.

He has significant experience in lender-side and borrower-side mandates involving renewable energy, telecoms infrastructure, hospitality, industrial operations, healthcare and technology. He is particularly active in transactions requiring a combination of finance documentation, security arrangements, regulatory analysis and commercial structuring. Vangelis is also highly experienced in M&A and investment work connected with financing structures, regularly advising banks, corporates and investors on deal structuring, risk allocation and implementation under Greek and EU law.

  • Advised on a series of complex telecom infrastructure leasing financings for the rollout of fibre-optic networks in Greece, including terrestrial and submarine FTTH infrastructure, EPC arrangements, assignment structures and security documentation.
  • Advised on project finance transactions for renewable energy assets, including wind and photovoltaic projects, with responsibility for due diligence, bond programmes, security packages and hedging-related documentation.
  • Advised on cross-border bond and bank financing transactions in the hospitality and real estate sectors, including financing for landmark hotel and development projects.
  • Advised on intragroup and bank financing transactions for multinational industrial groups, including intercompany funding, corporate approvals and Greek-law banking documentation.

Vangelis leads the firm’s Commercial & Corporate practice, advising clients across pharmaceuticals, healthcare, technology, financial services, energy, industrials, consumer goods, chemicals, communications and infrastructure.

He has coordinated large-scale projects involving private entities, international groups and public-sector counterparties, and has extensive experience in complex commercial contracts, M&A, joint ventures, shareholder arrangements, group restructurings, post- acquisition integration and strategic negotiations.

His corporate work is known for combining technical legal expertise with commercial judgment and hands-on deal management, particularly in transactions involving cross- border structures, regulated sectors and complex governance arrangements.

  • Acted as lead counsel in a cross-border acquisition of a controlling stake in a leading communications group, involving staged equity transfers, deferred implementation mechanics, governance reconfiguration and subsidiaries across several jurisdictions.
  • Advised on the acquisition of a Greek pharmaceutical business by a European healthcare group, including due diligence, SPA negotiation, regulatory risk allocation and post-closing implementation.
  • Advised on post-investor entry restructuring, corporate governance and operational relaunch matters for a strategic Greek industrial and defence-sector asset.

His litigation practice covers commercial and distribution disputes, shareholder conflicts, banking and investor claims, employment disputes, unfair competition, enforcement proceedings, arbitration-related proceedings and strategic settlement negotiations. Vangelis is particularly valued for combining courtroom experience with commercial strategy, allowing clients to manage legal, financial and reputational risk in sensitive disputes.

  • Represented a multinational healthcare group in a long-running distribution dispute involving claims for unlawful termination, lost profits, goodwill indemnity and unfair competition, achieving favourable outcomes before multiple court levels and a favourable settlement.
  • Acted in a high-value cross-border dispute exceeding €54 million involving parallel proceedings in Greece, the USA and Malta, including arbitration proceedings and related Greek litigation.
  • Represented an international medical technology company in a distribution- related claim for goodwill indemnity and lost profits, securing full dismissal of the claim before both the Court of First Instance and the Court of Appeals.
  • Represented a major Greek bank in investor litigation connected with a financial group collapse, achieving favourable judgments at all court levels, including a precedent-setting Supreme Court victory.
